1. About these Terms
These Terms govern use of Eselram and any installation, support, update or related service supplied by Eselram. By purchasing, installing or using Eselram, you agree to these Terms.
2. Eselram licence
Unless your order states otherwise, an Eselram purchase grants a limited, non-exclusive, non-transferable licence to use the purchased Eselram version for one business and one authorised installation.
The licence gives you the right to use Eselram for your business. It does not transfer ownership of Eselram's underlying software, branding, designs, documentation, distribution system or other intellectual property.
3. Customer-owned infrastructure and data
Eselram is designed so customer installations can run in infrastructure owned or controlled by the customer, such as the customer's GitHub, Cloudflare, Stripe, Gmail or Resend accounts. The customer owns and controls its business data.
Customer ownership of an installation repository or infrastructure does not grant permission to redistribute, resell, sublicense or commercially exploit Eselram software outside the licence purchased.
4. Your responsibilities
- Keep accounts, passwords, API credentials and devices secure.
- Use Eselram lawfully and appropriately for your business.
- Ensure your services, records and communications comply with applicable law.
- Maintain appropriate privacy information, consents and retention practices for your clients.
- Keep third-party accounts used with Eselram in good standing.
- Maintain appropriate backups where required.
5. Third-party services
Eselram may integrate with third-party services including Cloudflare, GitHub, Google, Stripe and Resend. Those services are supplied under their own terms, availability and pricing. Eselram is not responsible for outages, suspensions, pricing changes or decisions made by those providers.
6. Payments and fees
Fees, taxes, payment terms and licence scope are those shown when you purchase Eselram or in your applicable order. Third-party processing, email, hosting, domain or infrastructure costs are normally the customer's responsibility unless expressly stated otherwise.
7. Support, fixes and updates
The support and update period supplied with a purchase is the period stated at purchase. Where a purchase includes bug-fix or security updates, those updates may be supplied through Eselram's supported update mechanism. Major new versions, optional modules or materially new functionality may require a separate purchase or licence.
8. Restrictions
- Do not sell, rent, sublicense, distribute or provide unauthorised copies of Eselram.
- Do not use one licence for unrelated businesses or additional installations beyond the licence purchased.
- Do not remove or falsify Eselram ownership, licence or attribution information.
- Do not use Eselram to infringe another person's rights or break the law.
- Do not attempt to compromise Eselram's licensing, update, security or distribution systems.
9. Availability and changes
Eselram may be affected by internet connectivity, customer configuration, third-party services and customer-owned infrastructure. We do not guarantee uninterrupted availability of third-party services. Reasonable changes may be made for security, compatibility, legal compliance, reliability or continued operation.
10. Professional and regulatory responsibility
Eselram is administrative and business-management software. It does not provide medical, clinical, legal, accounting or other professional advice. Businesses remain responsible for professional judgement, treatment suitability, record-keeping requirements and regulatory compliance applicable to their services.
11. Intellectual property
Eselram and its original software, branding, designs, documentation and related materials remain protected by applicable intellectual-property law. Except for the licence expressly granted in these Terms, no rights are transferred to the customer.
12. Suspension or termination
Vendor-controlled services such as licensing, update delivery or support may be suspended where reasonably necessary for security, misuse, non-payment or material breach of these Terms. Customer-owned business data and third-party infrastructure remain subject to the customer's accounts and the relevant provider's terms.
13. Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful. To the maximum extent permitted by law, Eselram will not be responsible for indirect or consequential loss, loss caused by third-party providers, or loss arising from customer configuration, misuse or failure to maintain appropriate backups.
14. Privacy
Our handling of personal information is described in the Eselram Privacy Policy. Businesses using Eselram are separately responsible for the privacy information they provide to their customers.
15. Governing law
Unless mandatory law requires otherwise, these Terms are governed by the laws of England and Wales and disputes will be subject to the courts of England and Wales.
16. Changes to these Terms
We may update these Terms from time to time. Material changes affecting existing licences will be communicated where reasonably required. The latest version will be published here.
